1. Terms & Conditions 

Digital Saints Solutions (LLC Pending, 2023), is the agency of reference in this legal disclosure effective November 1st 2024, provider digital goods, services, and sub contracting arrangements ('Us, We, Our, Agency') contracted or in legal agreement with the Client (or a representative of with power of attorney) ('Account Holder', business owner, you, your'), located within the United States of America and held to the laws of the state of Florida as well as the residing station, locale, or region of the Client has executed these terms to govern services provided to the Client throughout the duration of any contract or service agreement signed, notarized, and legally executed by both parties through third party service providers operating within their own region providing digital services including but not limited to the sale or licensing of digital content, files and downloads, user accounts, forum services, user generated content, user media, or other services outside of those governed by the Master Digital Services Agreement and personalized Service Provider Agreement & Service Contract provided to the Client by Digital Saints Solutions upon commissioning services provided by the agency or subcontractors operating through the agency.

The terms of this agreement are in reference to:

•Providers of software, applications, or Web platforms 

•Open source software, Code 

•Application Licenses, API Keys 

•Third Party Websites & Platforms 

•Social Media Platforms

•Payment Processors 

•Advertisers 

•Video & Photo Stock 

•Digital Products, Software

•Any and all digital and physical service providers not governed by, in partnership with, or contracted with Digital Saints Solutions or it's Agents - otherwise not governed by the terms and conditions in the policies and disclosures within this website and provided to the client upon signing a contract or service agreement with the Agency or Agent providing said services. 

The Agency may, from time to time, update, change, or alter this disclosure with or without notification to its governing bodies, subcontractors, or clients. It is the responsibility of all parties involved to check this disclosure regularly within reason as of its effective date.  These terms are supplemental and proprietary to any prior or current legal arrangements between all parties and governing policies in place by the Agency. 

2. Third Party Service Providers, Provisions, and Product Usage Disclaimer 

Digital Saints Solutions may use third party service providers or manufacturers in some cases, but not all, to execute the arrangement between the agency, subcontractor, and client. The client retains full responsibility for understanding the legal terms and conditions governing the usage and applications of these services or products. Digital Saints Solutions nor the client may claim ownership of or governance over these items under patent or license as protected by state, county, or regional laws and regulations. 

These third party services, products, or service providers may include, but are not limited to:

• Social Media Platforms 
• Advertising Platforms & Services 
• Software or Utility Providers 
• Payment Processing Providers 
• E-Commerce Platforms 
• Digital Media Platforms 
• Application Development Resources 
• Web Hosting / Server Providers 
• Domain Registration & Brokers 
• Security Certificate Providers 
• Security Software & Hardware 
• Licensed Software & Applications 
• Database Management & Analytics Software 
• Email Servers / Service Providers 
• Content Management systems or content distribution networks
• Video & Photo Editing / Publishing Software 
• Other Misc. Digital & Physical Goods or Services used to execute the services or solutions provided by the agency and its contracted agents 

Digital Saints Solutions may in the spirit of transparency and full disclosure provide a listing of digital products and services connected to the client's account upon request. 

These items are governed by Third Party disclaimers and policies, including policies governing data usage, sales or sharing of data, security and storage, as well as licensing and terms of use. The client agrees to retain full responsibility to educate themselves and their employees on these legally binding policies and service agreements.

Upon contracting with our Agency, the client understands that the agency or contracted agents may not be held liable for legal repercussions, data loss, privacy infringement, security breaches, lost or stolen digital or physical items including media, brand assets, marketing data, leads, etc. 

The client may not request  legal assistance or reimbursement from the agency or its Agents in the event of legal repercussions or actions against the third party provider, provision, or items associated with this disclaimer as per signing the service agreement provided upon contract. 

Digital Saints Solutions holds no ownership over third party assets or accounts and may not influence or change policies, algorithms, software licenses, or disclaimers related to any service provider or item not administered, created by, licensed by, or otherwise owned by the agency and its Agents. 

Request for Removal, Account Deletion or Alteration 

Agents operating under direction of the agency have limited liability in regards to the content, presentation, and intention behind campaigns, media, posts, or profiles.

The client may request within reason that posts, media, or other assets disseminated through third party platforms be removed, deleted, or altered, including any and all accounts or profiles related to the client or clients products, services, etc. if it is within their / our power to do so.

The client must allow a sufficient agreed upon timeframe for removal, alteration, and deletion that is to be determined by the client and the assigned agent and mediated by Digital Saints Solutions. 

Right To Access & Ownership

The client retains the right to access any and all accounts, profiles, assets, and credentials used or created and managed on behalf of their account with the agency to execute and maintain services agreed on in the service agreement. Client ownership of intellectual property, content, and brand assets is described in and governed by our Master Digital Service Agreement 

This includes any and all domains registered through third party brokers and maintained / renewed by the agency, hosting packages through partners and used by the Agency and/or agents, security certificates, content, etc. 

Exceptions 

In the event that the client fails to make payment for services provided, takes legal action against the agency or its Agents, or does not provide sufficient contact information, the agency retains the right to hold any and all accounts created on behalf of the client, digital assets, and digital media licensed by and to the agency for the client as collateral to be released when the account is paid in full and contract terminated or awaiting court verdict. 

Partnership & Affiliates Disclosure 

Digital Saints Solutions only partners with service providers and companies that provide products and services that the agency and its Agents trust and believe will benefit our clients. We partner with companies providing common services that we do not offer ourselves. 

We may receive some form of compensation if our client chooses of their own accord by our recommendation to select a product or service provided by one of our partners, affiliate networks, or sponsors.

We do not recommend any service or product based on any assumption of compensation, incentive, commission, or stakes in third party providers, companies, or organizations. Our agents are encouraged to only recommend services and products they have used extensively and personally that they believe will truly benefit the client in some way. 

At the time of this publication, we are currently partnered with Dreamhost as our preferred hosting and web services provider. 

This website is hosted by Dreamhost and we recommend this host as they provide accessible, affordable, and reliable hosting packages and dedicated server solutions for individuals and businesses.

Purchasing a hosting package through Dreamhost helps support our partnership, agents, and Digital Saints Solutions as a collective of like minded individuals. The commission is based your hosting package and additional services purchased which helps us offer you benefits such as free domain transfer, renewals, security certificate installation, etc. 

As we accumulate partnerships and affiliations with various service providers and companies, this page will be updated to disclose any and all information associated with such partnerships.

We also utilize and recommend WordPress and SimDif content management systems to our clients as we utilize them the most to create and develop beautiful functional websites for all different purposes, businesses, blogs, and organizations. You may find a complete list of the software and service providers we use and recommend. 

Client Inclusion and Recommendation of Programs 

Our agents may assist clients in obtaining partnerships, affiliations, revenue shares, or sponsors for their products or services if the client wishes. The agencies recommended by the agent or Digital Saints Solutions are governed by their own policies and service agreements. Compensation and commission is not guaranteed and rates depend on the amount of estimated ROI based on various metrics. The decision is ultimately up to the third party and beyond our control or influence. 

Utilization of Corporate Digital Assets for Client Account Management 

We often provide services and solutions to small businesses, individuals, and organizations that are franchises, corporate co-ops, or otherwise affiliated with a parent company or organization that may or may not offer compensation and/or reimbursement for digital services such as advertising as well as digital assets such as stock images, promotional images, graphics, and photos available as part of the arrangement through third party platforms such as BrandFolder or Canva. 

Digital Saints Solutions and its Agents may operate within the guidelines of the aforementioned co-op, sponsorship, or affiliation, and utilizes digital assets and/or resources on behalf of the client in accordance with agreements and licensing.

It is ultimately up to the agent in charge of the account as to if they are willing to learn, already know, or are willing to utilize these resources, assets, and programs on behalf of the client. Such services are considered above and beyond any standard service agreement and are billed at the agreed upon hourly rate of labor for the agent in charge.

Adherence

All parties are held to the same legal obligations and colloquial obligations involving utilization, operations and operating procedures on third party platforms, company assets, digital assets, products, and software. Digital Saints Solutions and agents under our advisement may not be held legally responsible for adverse actions taken against clients accounts held with third party service providers or platforms and may not ve held liable in the event of account suspension or termination. Digital Saints Solutions and its Agents may make an attempt to appeal decisions made by third party governing agencies on behalf of the client at our discretion. Appeals do not guarantee reversal or resolution. It is ultimately the responsibility of the client to make contact with any third party entities that may take action against them to request documentation, proofs, etc and reasoning behind the judgment. Digital Saints Solutions and its Agents may not be held liable for adverse actions taken against clients accounts under our control or management.

The client completely absolves the agency and operating agents of any legal, fiscal, or moral responsibility for account actions taken in good faith under the service agreement. 

1. The client must make all credentials and account information available to agents as per the service agreement to allow for management and regular access to the account. This includes but is not limited to login credentials, account IDs, payor ID, credit or debit card info, tax documents, and business information. The information requested by the agent and agency must fit the application or reasoning given for the request made by the third party entity. 
2. Information provided to third parties on behalf of the client is only done with the explicit approval and acknowledgement of the client. The Agency and Agent will always make a determined effort to ensure the client is aware of privacy policies and terms of use as well as security issues. 
3. Agents and the agency will never request client payment information or sensitive data in an email or text. 
4. The client is given access to all accounts at all times (See Exceptions)  Credentials and account information are kept offline and available at all times upon request. In most circumstances, this information will be mailed to the client via the postal service. 
5. The agent and Agency may not be held responsible for bad actors initiating contact with contracted individuals or clients in attempts to gather sensitive information, bank account information, or payment details. The Agency and Agent will always encrypt sensitive information transfers and store data offline for the security of the client. 
6. The Agency may not be held responsible for interactions between the client and other individuals on user driven platforms such as social media and forums. The agent in charge may perform content moderation services as per the service agreement and client guidelines. The agent may contact the client to advise on how to respond to specific items and is contested to respond as directed. 
7. Digital Saints Solutions and our agents will not propagate propaganda, fake news, misinformation campaigns, scams, false claims, or slander on any platform for any reason. 
8. Digital Saints Solutions and its Agents will never operate or post politically motivated materials unless under explicit guidance to do so and it adheres to the terms and conditions of our standard social media services agreement. 
9. Digital Saints Solutions and operating agents will not generate fake followers or other metrics through code manipulation or the use of bots, AI, algorithms etc.
